These Terms and Conditions ("Terms") govern your use of the website sinontech.co.uk ("Website") and all managed IT services, cybersecurity solutions, and self-hosted security software products ("Services" and "Products") provided by SinonTech Ltd ("Company", "we", "us", "our"), a company registered in England and Wales.
By accessing our Website or engaging our Services or Products, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our Website or engage our Services.
SinonTech provides managed IT services to businesses and organisations. The specific scope, terms, and service levels for each engagement are defined in a separate Service Agreement or Statement of Work agreed between the Company and the Client.
These Terms apply in addition to any Service Agreement. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall take precedence for the specific engagement it covers.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, provided that existing contractual commitments are honoured.
Our Products are self-hosted software platforms licensed to Clients under separate licence agreements. Products are licensed, not sold. All intellectual property rights in the Products remain with SinonTech Ltd.
Products are designed to run on infrastructure controlled by the Client. When deployed in this manner, the Client is solely responsible for the data processed and stored within the Products. SinonTech does not access, process, or have visibility of Client data held within self-hosted Product deployments unless explicitly authorised by the Client for support purposes.
Product updates, security patches, and new features are provided in accordance with the applicable licence agreement.

We reserve the right to restrict or terminate access to the Website for any user who violates these Terms.
Quotes issued by SinonTech are valid for 30 days from the date of issue unless otherwise stated on the quote. Prices quoted are exclusive of VAT unless explicitly stated.
Invoices are payable within 30 days of the invoice date ("Net 30") unless alternative payment terms have been agreed in writing. We reserve the right to charge interest on overdue payments at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
All fees are non-refundable once Services have been delivered or Products have been deployed, unless otherwise agreed in writing or required by applicable law.
We are committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of how we collect, use, and protect your data are set out in our Privacy Policy.
Where we process personal data on behalf of a Client as part of a managed service engagement, we do so as a data processor and in accordance with a Data Processing Agreement agreed with the Client.
All content on this Website, including text, graphics, logos, images, and software, is the property of SinonTech Ltd or its content suppliers and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.
The SinonTech name, logo, and all related product names (including Umbra, SinonSentinel, SecureMinds, SinonForge, SinonStore, and SinonMeet) are trademarks of SinonTech Ltd. You may not use these marks without our prior written consent.
Nothing in these Terms grants you any right, title, or interest in our intellectual property.

The Website and its content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of the content on the Website.
Either party may terminate a service engagement by providing written notice in accordance with the applicable Service Agreement. In the absence of a specific notice period in the Service Agreement, a minimum of 30 days written notice is required.
Upon termination, we will provide reasonable assistance to facilitate the return or migration of Client data, subject to payment of any outstanding fees. Data will be retained for a period of 30 days following termination to allow for retrieval, after which it will be securely deleted.
Termination does not affect any rights or obligations that have accrued prior to the date of termination, including the obligation to pay any outstanding fees.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Website. The "Last updated" date at the top of this page will be revised accordingly.
Your continued use of the Website or engagement of our Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
